you need to import your company file into Quickbooks 2006 first, then from there into 2008.

There may be more than one issue going on here. In some cases, going to a version that is several versions later requires a stepped upgrade. 2003 to 2004, 2004 to 2006, then to 2009. There may also be data damage existing in the 2003 file that will prevent an upgrade, until it is resolved in 2003.
Intuit used to have a policy that it would have you send in a copy of the data file and would convert it for free if you were going to the latest version.

I would not open up the company file in 2009. Open your 2003 Quickbooks, make a backup and then restore the back up in 2009. If you do run into problems you might want to upgrade into 2006 and then to 2009. (you will need to find someone who can do this for you if you don't have a 2006 version. I can help you with that if you need it

Same thing here when attempting to "send payroll data", though mine's with pro 2009. I found this KB item which indicated that I should update:

I followed the update instructions here:

Even though my update status was "nothing new" for each category, I hit the "Update Now" button anyway (it was enabled, why not?). It went through the motions of updating (even though there was nothing to update). When it finished, I closed and re-opened QB, then I was able to send the payroll data. This software is far from the gold standard I thought it was going to be.

I cant seem to find the manual for OS support. If windows XP is supported, the program works the same. For Vista and Win7 don't know really. Always when you're in doubt, makes the backup default.
