You don't need the CD
Easiest way to transfer photos is:
Buy a card reader and take card out of camera, put it in card reader and copy photos to a folder on your PC
or
Connect camera to computer with usb lead supplied and follow on screen instructions

Try this link for the software. You need the drivers in order to access the
camera, also get ffdshow (latest stable version) from here,

http://www.afterdawn.com/software/video_software/codecs_and_filters/ffdshow.cfm/rev__610__20061201

to access the H264 format MPEG4 video that the camera uses for it's video. Once you
have the software (download all from the above link and install) you can
work with about any cd/dvd making (even windows moviemaker and windows
dvd maker in vista), upload to YouTube, etc.

In fact there are several important reasons discussed in the article for using a card reader vice downloading from the camera. USB Card readers are also very inexpensive these day, with cost virtually not an issue:
