I have a dell machine and i got windows xp cd with sp3 with it but i cant activate the key or make it genuine

The same way you slip streamed SP3. You can download all the updates here. http://catalog.update.microsoft.com Alternately you update your system to a base install get all the updates and create a ghost image.

What CD-ROM did you use -- the CD-ROM supplied by the manufacturer (Dell, HP, eMachines, ACER) or a "non-genuine" copy on a CD-recordable disk?

Did you copy the product-key from the decal on the side-panel of the desktop
(or the decal on the bottom of the laptop) ?

Were you connected to the Internet when it "again" asked for the activation code?
If so, Windows has connected to Microsoft, to compare your product-key to a list
of "bad" ("compromised") license-keys, and it found a MATCH, indicating that you
have a "non-genuine" copy of Windows XP.

Please supply more details.

You can download a copy of a dell windows disc from a torrent site, and use your key.
I found 1 for you, you will need a torrent client, i use Utorrent, you can also use limewire.

There is no "key" for SP3, its just an update.

Just click on the start menu and perform a Windows/Microsoft Update to install SP3 and then perform another update to update SP3.

Contact Microsoft and give them your product key, If it is a genuine copy the will reset this for you. If your copy is not genuine you should purchase a genuine copy or consider an open source free alternative.

u need cd key and genuine copy of xp call it in say u redid it
